We are able to advise and assist on a variety of matters, such as the most appropriate structure for starting up your business, or appropriate terms to include in an agreement between partners. We can form a limited company for you, tailor articles and memorandum of association or draw up shareholder agreements, or directors' service agreements. If you appoint a distributor we can draw up an appropriate distributor agreement suitable for your business sector, or if on the other hand you are to be appointed as distributor, we can review the proposed contract to ensure your interests are protected. We are also able to assist if you wish to set up a joint venture with another business, or want to enter into a franchise arrangement. For more established businesses we offer a contract audit whereby we will come and visit you and produce a report about the contractual health of your business.

For your core business services, we recommend and are able to produce terms and conditions of business specifically adapted for your business. It is a false economy to do without terms of business. If you use subcontractors, you would be well advised to use a subcontracting agreement to regulate your relations with third parties. Having such documents in place send out an important message about your brand to the outside world – that you are professional, and business like, that you care to communicate clearly with your customers, and that you take your legal rights and duties seriously. It is every bit as important as having a logo designed for you.

For other contracts, don't allow confusion about what was agreed with the other party creep into your business dealings. Instead, make it a rule to record all the important points of your agreement in correspondence signed by both of you BEFORE you start to perform the contract.
