License Terms for purchase of letter(s) or clauses (‘Product’)
You are buying a license to use the Product to deal with the copyright aspect of commissioned works, and use of freelancers. Ideally you should use a comprehensive contract to govern the entire transaction. Failing that, it is better to address the copyright aspects in a letter rather than remain silent about what is to happen about copyright ownership (see e-book at www.ip-brands.com).
Professional users are likely to be solicitors, accountants, and other business advisers, or organisations adapting and tailoring the Product for their own clients as part of specific advice they are giving to an individual business. They will find it less time consuming to buy the Product and tailor it for their clients, than to draft letters from scratch. The Professional license does not entitle them to distribute the Product or any derivatives of it to their clients generally.
Copyright & Licence
Buying this Product gives you, the user, a non-exclusive, irrevocable license to use for the duration of copyright, throughout the world, all or any part of the Product that you buy, either for your internal business use or for your professional use, as the case may be, depending on which Product you pay for.
Internal Business License
If you pay for an internal business use Product, then the license entitles you to use or adapt the Product, and copy, or republish it in whole or in part, for your own internal business purposes only. You may not allow any third party (including group companies) to use the Product, nor may you re-sell, republish, copy, distribute or otherwise give away the Product or any part thereof for any other purpose.
Professional Use License
If you pay for a professional use Product, then the license entitles you to use or adapt the Product, and copy, or republish it in whole or in part, for your own internal business purposes, as well as for the purpose of tailoring the Product for an individual client’s requirements for their own internal business affairs only, subject to their acceptance of the same restrictions as apply in our internal business license.
You may copy, make derivative works, and make commercial use of the letters for this purpose only, which includes using it for the internal business purposes of another organisation within your group of companies provided that nothing here stated will be presumed to give you the right to license or otherwise distribute the Product to third parties for their own use, and adaptation, whether you obtain a financial consideration for such license or not, and whether you offer the Product on a website, or in a book or by any other means.
Disclaimer and Exclusion of liability
The Product is provided on an "as is" basis without any representations or endorsements made and without any warranty of any kind whether express or implied, including but not limited to implied warranties of fitness for purpose, merchantability and accuracy.
The sale of the Product to you does not create a solicitor/client relationship between us, nor does the Product constitute legal advice because legal advice may only be given by a qualified professional adviser who is familiar with your individual circumstances, and who is advising you on a particular set of facts. The Product must be appropriate to your own specific circumstances, or adapted to suit it. Therefore its use is entirely at your own risk.
We are not responsible for any indirect, incidental, special or consequential damages, including, but not limited to, loss of business or profits or any other financial loss, arising out of or in any way connected with the use of the Product, under any law or on any basis whatsoever whether contractual or otherwise. In addition you agree that if, for any reason, we are liable for any damages, then our total liability shall be limited to the amount of the document purchased plus an additional amount of £100.
There may be updates and additions to reflect changes to the law, or general improvements to this Product. Therefore, we suggest you return to the website from time to time to find out if there is a Product update.
Governing Law
The agreement between us is governed by English law and the English courts have sole jurisdiction to hear any disputes on it.
If you buy the Product for use in another jurisdiction, such as in the USA, India, South Africa, Australia, or New Zealand, it is your responsibility to check which governing law to substitute for English law.
Distance Selling Regulations
Due to the digital nature of the Product no automatic right of refund or cancellation under Regulation 13 of the Consumer Protection (Distance Selling) Regulations 2000 once you have bought and downloaded the Product. However, if you have any complaints or issues after buying the Product, then please email info@ip-brands.com. We will aim to respond within 5 working days.
