When you rely on software in your business, it is prudent to invest in a source code escrow service.

The purpose of a source code escrow agreement is to safeguard your business if certain pre defined disaster situations were to occur which would prevent the licensor of the software from continuing to provide you with it.  Under the source code agreement you would get access to the source code if those circumstances arose.

For example, if the developer goes bust you would then be able to continue using the software, and have it maintained by someone else.  If the software was being used by hundreds of people, then you could between you find someone else to continue to maintain it.

It is important each time the software is upgraded or enhanced, that the corresponding updated version of the source code is lodged with the escrow agent.  In this way the agent should always have the most up to date version of the source code.
